Terms & Conditions – Sippi App

These Sippi Terms and Conditions are effective as of the 16/04/2024.

  1. General

1.1 These Sippi Terms and Conditions and the Privacy Policy govern the relationship between the Sippi Account Holder (“You”, “Your”) and Agena Solutions Limited T/A Atria (“Us”, “Our”, “We”) in respect of the use of Sippi Services (the “Agreement”). Nobody else has any rights under this contract. This contract is between You and Us it cannot be enforced by any third party.

1.2 By downloading the Sippi App and/or by registering Your Sippi Account, You accept this Agreement. If You do not accept this Agreement, do not register for a Sippi Account and do not use the Sippi Services and uninstall the Sippi App from any device You use.

1.3 Sippi App provides a platform for You to connect with Third Party Operators to:

    • 1.3.1 Pay for Sessions at Locations;
    • 1.3.2 Apply Promotions to Sessions; or
    • 1.3.3 Enable Validations at Locations for Sessions;
    • 1.3.4 Book Sessions; and
    • 1.3.5 Access Locations managed by Sippi Access.
  1. How to use the Sippi App.

 2.1 You may access Sippi Services via the Sippi App.

2.2 To use the Sippi App, the Sippi App will need to be installed by You onto a compatible device (e.g. smartphone or tablet).

2.3 You agree that when downloading and installing the Sippi App that You may need to accept and comply with third-party terms and conditions to download the Sippi App (i.e. Apple App Store/Google Play Store terms and conditions).

2.4 You agree and understand that by downloading the Sippi App You will share information with us as identified in Our Privacy Policy, including but not limited to, Your phone and or/device ID, Your Location, device Location and IP address.

2.5 You accept that if You download the Sippi App, but do not register for a Sippi Account, it will not be possible for You to access the Sippi Services.

  1. Registration and Use of a Sippi Account.

3.1 To use the Sippi Services, You must first create a Sippi Account. This can be completed via the Sippi App and by following its registration process. The registration process will require You to either register using Your email address and password or by signing in via Your Google or Facebook account.

3.2 If You are an individual, You must be at least 13 years old and have full legal capacity to enter into a contract to open a Sippi Account and use the Sippi Services.

3.3 You are responsible for ensuring that Your Sippi Account information is accurate at all times. You can update or correct Your Personal Details at any time through the Sippi Account settings section of Your Sippi Account.

  1. Making Payments via the Sippi App.

4.1 The Sippi App provides methods for You to pay for Your Sessions at enabled Locations. The method by which Sippi App may be used to pay for Your Session will be determined by the Third-Party Operator and will be detailed on the Location page and/or any signage at the Location.

4.2 For any Session You understand and agree that it is Your responsibility to adhere to the Third-Party Operator’s instructions and any relevant terms and conditions provided by the Third-Party Operator for using the relevant Location.

4.3 To identify the payment method and Tariff applicable to a Location, You should find the relevant Location Page on the App. The Location Page may be found by either:

    • 4.3.1 entering the Location ID (which may be displayed at the Location on signage, or provided to You by the Third-Party Operator for example as part of an email invitation to the Location); or
    • 4.3.2 selecting the Location from the list of available Locations based upon the address of the car park/mooring or name of the car park/mooring; or
    • 4.3.3 by searching for nearby Locations from the Sippi App when You are at the Location and You have location services enabled on Your device.

4.4 You shall be responsible for ensuring that You have selected the correct Location for Your transaction and You are not restricted from the Location by the Third-Party Operator. Examples of restrictions that Third-Party Operators may have at a Location can include staff only, permit holders only, members only, no motorhomes, specific vessel types only this is not an exhaustive list.

4.5 Where a Tariff Fee is payable at a Location it will be displayed on the Location Page. Where You determine that You will pay a Tariff Fee via the Sippi App, You shall follow the relevant instructions within the Sippi App to conclude that transaction, including, where appropriate Checkout).

4.6 Some Locations may only be available to authorised or invited users e.g. staff at a given Location, or invited visitors, or registered guests at a hotel. As such all Locations where Sippi Services are available may not be visible to all Sippi Account Holders. Authorised Users, at any given Location, are determined by the Third-Party Operator and not Us.

  1. Pay on Arrival

5.1 Where a Location is enabled for Pay on Arrival and You wish to Pay via the Sippi App, You should:

    • 5.1.1 select the Location on the Sippi App
    • 5.1.2 enter the VRN of the vehicle/vessel name that You would like to pay for parking/mooring either from the list of VRNs/vessels on Your account; or
    • 5.1.3 entering a new VRN/vessel name; and
    • 5.1.4 select the maximum stay duration of Your proposed Session by using the slider to start the Session.

5.2 When You use the slider to start the Session You are confirming that We may process payment up to the Tariff Fee applicable for the maximum stay duration You have selected, along with any Additional Fees that are applicable to the Session.

5.3 If after starting Your Sessions, You wish to finish Your Session earlier than the maximum stay duration chosen and pay for only the time used to that point You may use the Sippi App to stop the Session by sliding the slider to stop parking/stop mooring. Stopping Your parking/mooring means Your Session will end and You authorise Us to take payment of the Tariff Fee applicable to the duration of Your stay, along with any Additional Fees that may be applicable to Your Session.

5.4 Payment will not be processed until the earlier of a) Your Session concluding in accordance with clause 5.3 or b) the end time You have selected in accordance with clause 5.1.

  1. Pay On Exit.

6. 1 Where a Location is enabled for Pay on Exit, this will be advised on the Location Page and/or signage at the Location. To make payment via the Sippi App, for Your Session by Pay on Exit just prior to Your vehicle exiting the Car Park You should enter the VRN (on the relevant Location Page) of the vehicle that You would like to pay the Session for, either from the list of VRNs on Your account or entering a new VRN. This will return to You details of Your entry time to the Location, the relevant Tariff Fee along with any Additional Fees for Your Session and provide You with an option to Checkout. Pay on Exit is not available when paying to moor a vessel.

  1. Pay Later.

7.1 At specified Locations an option to pay via the Sippi App after a VRN has exited the Location, within a specified timescale. The specific timescales relevant to any given Location where a Pay Later option is provided, are detailed on the Location Page and/or signage at Location. Pay Later is not available when paying to moor a vessel.

7.2 To Pay Later via the app, within the given timescale referred to in 7.1 You must (on the Relevant Location Page) enter the VRN of the vehicle of the Session that You would like to pay for either from the list of VRNs on Your account or entering a new VRN and select the button to claim parking exit time to. This will return to You details of Your entry time and exit time and the relevant Tariff Fee, along with any Additional Fees for Your Session and provide You with an option to Checkout.

  1. Pay Automatically on Exit

8.1 Pay Automatically on Exit provides a method for You to grant pre-authorisation to Us, to calculate the Tariff Fee and any Additional Fees for a Session once You have exited the Location and to charge this to Your Payment Information at a Pay Automatically on Exit Location. Please note that Pay Automatically on Exit is not available when paying to moor a vessel.

8.2 You can enable Pay Automatically on Exit either:

    • 8.2.1 after entering the Location (of a Pay Automatically on Exit enabled Location), by entering Your chosen VRN, on the relevant Location Page and selecting the pay automatically on exit option, or
    • 8.2.2 from Your account settings in the Sippi App select the VRN that You would like to authorise and select the option to enable Pay Automatically on Exit. (which may if the Location is set up to do so, allow automatic gate opening and session charging via camera).

Where a Pay Automatically on Exit authorised VRN is recorded as exiting a Location at a Pay Automatically on Exit enabled Location. We will automatically take payment for Your Tariff and any Additional Fees following the conclusion of Your Session.

8.3 You acknowledge that when enabling Pay Automatically for a VRN You are providing an ongoing authorisation for Us to take payments for Sessions for the VRN(s) You have selected as being Pay Automatically in Your Account. This authorisation shall continue indefinitely until either You or We remove the authorisation for a VRN. If You wish to discontinue Pay Automatically from a selected VRN You may do by updating Your Sippi Account accordingly. If We are to deactivate a VRN from Pay Automatically, then We will send You a notification to advise You of the same.

8.4 You recognise that not all Locations have Pay Automatically as an approved payment method option. It is Your responsibility to ensure that You understand if Pay Automatically is an accepted method of payment at each Location You visit. If Pay Automatically is enabled on a Location this will be detailed on the relevant Location Page and/or Signage at site.

8.5 If Pay Automatically on Exit is enabled for a selected VRN and You also pay for the same Session by an alternative payment method, then You will still be charged for Your Session via Pay Automatically on Exit. It is Your responsibility to deactivate a VRN from Your account before entering a Pay Automatically enabled Location if you do not wish to pay for the Session via Pay Automatically on Exit.

  1. Booking

9.1 Booking enabled Locations may be found in the Sippi App by searching the area You wish to make a Booking, by entering a Location ID, or Location name. Details of the available options for Bookings including Tariff Fee and any applicable Additional Fees will be displayed on the Location Page. Booking types available may include Booking by number of hours, number of days, or by month. Bookings can be made by following the on-screen instructions. Please note that Booking is not available when paying to moor a vessel.

9.2 The full Tariff Fee (and any Additional Fees) for Booking shall be processed at the time of Checkout, save for Monthly Bookings. For Monthly Bookings the Tariff Fee for the remainder of the month (and any Additional Fees) shall be calculated and processed at Checkout, subsequent payments will be processed on a monthly basis on the date, and for the total amount advised at the point You Checkout. You may view future scheduled payment processing dates in Your Sippi Account at any time.

9.3 It is only possible to have one VRN at any time Authorised for a Booking at a Location. The VRN associated with a Booking may be amended via Your Sippi Account any time before Your Session commences. After Your Session has commenced You may only change the VRN registered for the Booking if:

    • 9.3.1 the Booking allows multiple entry and exits, and/or
    • 9.3.2 the new authorised VRN is input before the VRN enters the Location and the existing authorised VRN is not already in the Location.

9.4 If a previously registered VRN is at the Location and the newly added VRN is at the Location at the same time the Third-Party Operator may take action against one or both vehicles (owner/driver) based upon the terms and conditions applicable at the Location.

9.5 Bookings DO NOT guarantee that there will be a parking space available to You upon Your arrival at a Location. You acknowledge this when making a Booking.

  1. Promotions and Validation.

10.1 We, a Third-Party Operator, or third-party promoter ( a “Promoter”) may from time to time make available to You special offers, promotional rates and/or discounted Tariffs at selected Locations, which may be used in combination with the Sippi App (a “Promotion”).

    • 10.1.1 Each Promotion shall be subject to its own set of terms and conditions which will be provided by the Promoter.
    • 10.1.2 Where the Promotion requires the use of a promotional code You may save such codes into Your Sippi Account for Your use (following any relevant instructions from the Promoter) prior to Checkout.
    • 10.1.3 Where a Promotion requires a Validation to secure the Promotion, You must follow the instructions from the Promoter prior to Checkout.
    • 10.1.4 It is Your responsibility to ensure that successful Validation has been completed.
  1. Other Fees Collected by Us.

11.1 When using the Sippi App, Additional Fees over and above the Tariff Fee may be applicable to Your transaction, these fees may include:

    • 11.1.1 a fee for the automated facilitation of Your transaction (a “Convenience Fee”). Any Convenience Fees applicable at a Location shall be displayed on the Location Page and be detailed at the point of Checkout. Any Convenience Fees due will be collected at the same time as the Tariff Fee.
    • 11.1.2 a Cancellation Fee.
  1. Processing of Payments.

12.1 It is Your responsibility to ensure that:

    • 12.1.1 the Payment Information is correct and up to date in Your Sippi Account;
    • 12.1.2 there are sufficient funds available (relevant to Your chosen method of payment) at the time of payment processing.

Where a transaction is being processed for payment and the payment fails a Notification will be sent to Your device including instructions and timescales for resolution. We cannot guarantee that any Notification will be received by Your device, or received within timescales necessary to enable You to rectify the failed payment in line with any timescales required by any contract that You may have with a Third-Party Operator.

12.2 Where payment is processed for a Session, an invoice is automatically generated and sent to the Sippi Account Holders registered email address. Payment will not be deemed to have been received until You are provided with a confirmation that the payment has been successful.

  1. Cancellations & Refunds.

13.1 If You wish to cancel Your Session, please follow the in app on-screen instructions.

13.2 No cancellations or refunds will be accepted where a Session has already commenced, save for Monthly Bookings, which have been in place for over one month.

13.3 Any cancelations or refunds will be subject to the instructions We have from the Third-Party Operator. We are under no obligation to offer refunds or cancellations in respect of transactions either in advance of a Session, once the Session has started, and/or once the Session has expired.

13.4 You may cancel Monthly Bookings after a minimum of one month, by selecting the cancellation option in Your Sippi Account. A Cancelation Fee may be due as notified at Checkout. Cancelation Fees where applicable will be taken from Your registered Payment Information, or deducted from any refund that may be due to You.

13.5 We or a Third-Party Operator may Cancel Your Booking by providing no less than 24 hours’ notice.

  1. Notifications.

14.1 As part of the Sippi Service, You may be able to receive Notifications.

14.2 You acknowledge that the receipt of Notifications are subject to multiple factors which are outside of Our control including:

    • 14.2.1 if You have completed the transaction via a Sippi Account,
    • 14.2.2 the settings You choose to apply on Your Sippi Account and/or Sippi App
    • 14.2.3 the notification settings You choose to apply on Your device (e.g. phone/tablet),
    • 14.2.4 if the Third-Party Operator has agreed to the provision of Session Notifications at the Location and the type of Session Notifications agreed,
    • 14.2.5 the availability of data and power to any device which could receive Session Notifications, and
    • 14.2.6 internet and mobile telephone network provider availability.

14.3 therefor You accept that it is not guaranteed that You will always receive Notifications that We issue.

  1. Sippi Access.

15.1 Sippi Access is a service which enables Authorised Users to access Secured Locations.

15.2 The terms of entry and Authorised Users are determination by the Third-Party Operator.

  1. Sippi Account Security.

16.1 You must not share Your password and Sippi Account details with anyone. The use of Your Sippi Account is Your sole responsibility, and You agree to notify Us immediately in the event of any unauthorised use by contacting Us using Our Contact Information.

16.2 You may change Your Sippi Account password at any time from Your Sippi Account or following the forgotten password process when attempting to log into Your Sippi Account.

16.3 If You believe a transaction has been made by an unauthorised person, You should contact Us immediately using the Contact Information. Applicable law may protect You from liability for unauthorised purchases. However, You understand that Your Sippi Account is not a credit account and is not protected by laws covering credit accounts.

  1. Your Responsibilities.

17.1 When using the Sippi App You accept and acknowledge the following:

    • 17.1.1 When a payment from You is being processed via the Sippi App You are subject to any applicable terms, conditions, restrictions, and other requirements of any card provider or payment provider You use. We have no liability for any transaction fees, insufficient fund charges, or any other fee or charge that is made by a payment provider in connection with Your use of such payment method; and
    • 17.1.2 You are solely responsible for any fees incurred in connection with any third party-costs through the general use of the Sippi App or Sippi Services i.e. Your mobile device and mobile data usage.
  1. Data Protection

18.1 Under data protection legislation, We are required to provide You with certain information including who We are, how We process Your personal data and for what purposes and Your rights in relation to Your Personal Data and how to exercise them. This information is provided in Our Privacy Policy.

18.2 When creating Your Sippi Account, You will be required to provide Us with personal data. This data may, where necessary, be disclosed to third parties in accordance with Our Privacy Policy. For example, when You enter Your Payment Information this will be shared with a third-party payment processor. Please carefully read Our Privacy Policy for information on how Your data will be processed.

  1. Acceptable Use

19.1 The Sippi App is strictly intended to be for use in connection with the Sippi Service. We grant You a limited and revocable licence to access and use the Sippi Service and Sippi App.

19.2 By using the Sippi App You confirm that You will only use the Sippi App in accordance with applicable laws.

19.3 We do not grant permission.

    • 19.3.1 for anyone apart from Yourself to access the Sippi App or Your Sippi Account;
    • 19.3.2 for the Sippi App to be re-sold or commercially exploited;
    • 19.3.3 to copy the Sippi App;
    • 19.3.4 to translate, merge, adapt, vary, alter or modify, the whole or any part of the Sippi App nor permit the Sippi App or any part of them to be combined with, or become incorporated in, any other programs, except as necessary to Use the Sippi App and access Sippi Services on devices as permitted in these terms;
    • 19.3.5 to use the Sippi App or any Sippi Service in any unlawful manner, for any unlawful purpose, or in any manner inconsistent with these terms, or act fraudulently or maliciously, for example, by hacking into or inserting malicious code, such as viruses, or harmful data, into the Sippi App, any Sippi Service or any operating system;
    • 19.3.6 to infringe Our intellectual property rights or those of any third party in relation to Your use of the Sippi App or Sippi Service;
    • 19.3.7 to use the Sippi App or Sippi Service in a way that could damage, disable, overburden, impair or compromise Our systems or security or interfere with other users; and
    • 19.3.8 to collect or harvest any information or data from any Sippi Service or Our systems or attempt to decipher any transmissions to or from the servers running any Sippi Service.

19.4 Should We find or suspect that Your use of the Sippi App is not in alignment with the above provisions above and/or any other terms of this Agreement, We reserve the right to terminate Your Sippi Account with immediate effect and/or We may suspend Your access to the Sippi Services. Any termination of Your Sippi Account and or suspension of Your use of Sippi Services by Us will not affect any other remedy that We have for Your breach of this Agreement.

  1. Disputes Procedure.

20.1 Any complaint or dispute arising from this Agreement, or the Sippi Service must be made to Us in writing to the address given at the end of this Agreement. Upon receipt of notification from You, Your account will be suspended pending investigation.

  1. Sippi Service Availability.

21.1 It is accepted by You that technical interruptions to the Sippi Service may mean that the Sippi Service is not available at all times. Any such interruptions shall not constitute a breach of this Agreement by Us.

21.2 We do not warrant the availability of the functionality of the Sippi Service and We will not accept and responsibility for the lack of availability or functionality of the Sippi Service at any time .

21.3 Use of the Sippi Service and Sippi App requires a mobile device and connection to the internet. Therefore, You will be unable to access the Sippi Service or download the Sippi App if You do not have a mobile device and/or are not connected to the internet. It is Your responsibility to ensure that You are connected to the internet to access the Sippi Service or the Sippi App. A lack of internet connection shall not constitute a breach of this Agreement by Us.

21.4 From time to time, We may automatically update the Sippi App and change the Sippi Service to improve performance, enhance functionality, reflect changes to the operating system or address security issues. Alternatively, We may ask You to update the Sippi App for these reasons.

21.5 If You do not to install such updates or if You opt out of automatic updates, You may not be able to continue using the Sippi Services.

  1. Third Party Services and Third-Party Operators

22.1 The Third-Party Service (e.g. paying for use of a car parking space) is provided by the Third-Party Operator. The Sippi Service facilitates Your use of the Third-Party Service (i.e., registering and taking payment for the car parking space, confirming security requirements for access to a given location to Authorised Users, Validating information on behalf of a Promoter). The Third-Party Operator provides the Third-Party Service at their sole discretion, We have no input in the Third-Party Services, nor do We accept responsibility for any change or discontinuation of the Third-Party Service.

22.2 In respect of the Third-Party Services, You are responsible for complying with any applicable terms and conditions, relevant byelaws, traffic orders, regulations or any other restrictions that may govern the use of the Location, You accept that any loss accruing from Your breach of these restrictions. We will not be responsible for any incorrect information that might be advertised by the Third-Party Operator, or any other party.

  1. Transfer of Rights.

23.1 You may not transfer any rights or obligations You may have under this Agreement without Our prior written consent. We reserve the right to transfer this Agreement and all incorporated policies or any right or obligation under this Agreement without Your consent.

  1. Liability and Indemnity.

24. 1 We do not exclude or limit in any way Our liability to You where it would be unlawful to do so. This includes liability for death or personal injury caused by Our negligence or the negligence of Our employees.

24.2 We are not responsible for any breach of this Agreement that is caused by events or circumstances that are outside Our reasonable control.

24.3 If any part of this Agreement is found by a court or administrative body of competent jurisdiction to be invalid or unenforceable, the other provisions of the Terms shall remain in full force and if such provision would be made valid and enforceable if part were deleted, the provision shall apply assuming this deletion.

24.4 You indemnify Us against all losses, costs, expenses, demands or liability that We incur arising out of, or in connection with a third-party claim against us relating to Your use of the Sippi Service or any third-party product.

24.5 We do not accept responsibility for any damage caused to Your vehicle and or vessel whilst at the Location or using the Third-Party Service.

24.6 We exclude liability for any loss or damage caused by a breach of Our obligations under the Privacy Policy where such a breach is outside of Our reasonable control.

24.7 Always drive vigilantly and according to road conditions and in accordance with traffic laws. It is strictly forbidden to hold a mobile device in hand while driving or to use the Sippi Service in a non-verbal manner for any purpose while driving. We will not be liable for any use of the Sippi App in circumstances that are prohibited by law.

24.8 Our liability for any damage arising during the performance of Our obligations in delivering the Sippi Services is limited to the value of the service that We provide to You.

24.9 We do not accept responsibility for any Penalties or losses incurred as a result of Your failure to provide accurate information in respect of a Session. It is Your responsibility to ensure that You adhere to the any relevant restrictions that may be in place to govern the use of the Location. This specifically includes any consequential losses You may incur including issuance of Parking Charge Notices and Penalty Change Notices.

  1. Termination of Your Sippi Account.

25.1 Your Sippi Account will be valid until it is terminated by You or Us in accordance with this Agreement.

25.2 This Agreement will remain in force until You terminate Your Sippi Account and/or We vary this Agreement in accordance with clause 27.

25.3 We reserve the right to terminate Your Sippi Account immediately in the event that We believe You to have breached any of this Agreement or if We decide to withdraw the Sippi Service at any time.

25.4 You may terminate Your Sippi Account at any time by selecting Your profile page on the menu and pressing ‘delete account.’ Please note that deleting the Sippi App will not terminate Your Sippi Account and any personal data associated with Your Sippi Account will continue to be stored in the Sippi App.

25.5 The termination of Your Sippi Account will not affect any of Our rights or Your obligations arising under this Agreement.

25.6 If You uninstall the Sippi App but do not delete Your Sippi Account, Your Payment Information and Personal Information shall be retained on Your Sippi Account.

25.7 You acknowledge that to cancel Your Sippi Account all Sessions will need to be closed and all Bookings cancelled.

  1. No Rights for Third Parties.

26.1 This Agreement does not give rise to any rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of this Agreement.

  1. Changes to this Agreement

27.1 This Agreement may be subject to change, and We reserve the right to change or repeal them at any time. You will be notified of any such change either by email or via the Sippi App along with the date that such changes shall become effective. By continuing to use the Sippi Services, Sippi App or Your Sippi Account after any changes to this Agreement including the associated Privacy Policy take effect, You agree to be bound by those changes. You may terminate Your Sippi Account if You do not agree with such changes and uninstall the Sippi App from any devices You use. The date of the latest update to this Agreement shall be displayed at the top of this Agreement, if You require access to previous copies of the Agreement, please contact Us via the Contact Information.

  1. Law and Jurisdiction

28.1 This Agreement is governed by the laws of England & Wales any disputes in respect this Agreement shall be subject to the exclusive jurisdiction of the English courts.

  1. Definitions

In this agreement, the following terms have the meanings indicated below:

Additional Fees – mean any fees collected via the Sippi Services from You other than the Tariff Fee e.g., a Convenience Fee, Cancelation Fee.

Agreement – means these Terms & Conditions along with the Privacy Policy as may be amended from time to time.

Authorised User – means a Sippi Account Holder who is identified by the Third-Party Operator as being permitted to use Sippi Services at a Location.

“Book” and “Bookings” –means where You pay in advance for a Session (at Booking enabled Locations).

Cancellation Fee – a fee, made visible at the point of Checkout charged in respect of a Booking which is cancelled at Your request.

Checkout – means the process You follow in the Sippi App to authorise Us to process the payment of a Tariff Fee and any Additional Fees.

Contact Information – means the phone number and email address provided on the Sippi App to contact us.

Convenience Fee – has the meaning in clause 11.1.

Location – the land, building, car park, mooring or any other area, as circumstances may dictate, where the Third-Party Operator either accepts payments or booking, or grants access via the Sippi App.

Location Page – mean the page on the Sippi App which provides details relevant to the Location.

Monthly Booking – means a Booking for a minimum period of one month.

Notification – a communication from Us, via push notification in respect of Your Sippi Account, including Session Notifications.

Pay Automatically on Exit – means a method for the Sippi Account Holder to grant an ongoing pre- authorisation to Us, to calculate the Tariff Fee and any Additional Fees for a Session for a VRN that has authorised by the Sippi Account Holder for Pay Automatically on Exit and to charge this to Your Payment Information after the VRN exits the Location.

Pay on Arrival – means the payment method where payment via the Sippi App is accepted at a Location by performing the process described in clause 5.

Pay on Exit – means the payment method where payment via the Sippi App is accepted at a Location by performing the process described in clause 6.

Pay Later – a method of payment made available at specified Locations where a Session may be paid for within a defined timescale, after You (and Your vehicle) have exited the Location.

Payment Information – Your credit card information, debit card information, Apple Pay ID, or any other information that We will need to be entered into the Sippi App to use the Sippi Service.

Penalties – any fines, charges, or any other payment that is incurred as a result of a failure to comply with the relevant restrictions that may govern the use of the Location.

Personal Details – means the details, not including Your Payment Information, that You are required to enter into the Sippi App to create and register Your Sippi Account.

Privacy Policy – the document entitled the same and included within the Sippi App, setting out how We will use Your data.

Promoter – has the meaning in clause 10.1.

Promotion – has the meaning in clause 10.1.

Secured – means a locked, fenced, gated, barrier or otherwise restricted access Location.

Session – a period of time whereby Your registered VRN, or vessel as appropriate is entitled to access and/or make use of a particular Location.

Session Notification – a communication from Us, via push notification to advise that Your Session has commenced, is due to expire/has expired, or may be available to extend.

Sippi Access – a service which enables Authorised Users to access Secured Locations.

Sippi Account – the user account opened and maintained by You allowing You to use the Sippi Service

Sippi Account Holder – means the Sippi App user who registers their personal details against the Sippi Account

Sippi App – the mobile application provided by Us, allowing You to access the Sippi Service.

Sippi Beacon – a Bluetooth enabled device available at selected Locations which when used by an Authorised User enables:

  1. a valid Promotion to be applied to Your Session, and or
  2. access to a Sippi Access enabled Location

Sippi Service – means the services made available via the Sippi App.

Tariff – the fee or range of fee’s that apply to a Session(s) at a Location.

Tariff Fee – the specific fee payable by You for any relevant Session.

Third-Party Operator – the party owning, managing, or operating the Location.

Third-Party Services – services, excluding the Sippi Services, made available by the Third-Party Operator e.g., licence to use a car park, access to buildings, access through gates and barriers.

Validation – means, the process of presenting Your device, holding Your Sippi App*, to a Sippi Beacon to secure a Promotion and/or access to a Location, as the terms of the Promotion apply. (*When presenting to the Sippi Beacon the Sippi App must be logged into a Sippi Account and Your device’s Bluetooth settings must be enabled).

VRN – means vehicle registration number assigned to a vehicle.
